1. Acceptance of Terms

By accessing or using Hermes ("the Platform"), operated by ERARTA ("the Company," "we," "us," or "our"), available at hermes.erarta.ai, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Platform. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any modifications.

2. Description of Service

Hermes is an AI-powered SaaS platform designed for real estate professionals operating in the Dubai and UAE property market. The Platform provides AI chat assistants, market analytics, property search, community comparisons, and related tools to help professionals make informed decisions.

3. Account Registration

To use the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms or provide false information.

4. Subscription Plans and Billing

Hermes offers tiered subscription plans: Free, Starter ($29/month), Professional ($79/month), and Business ($199/month). Each plan includes a monthly allocation of AI messages and access to specific AI model tiers. All payments are processed securely through Stripe.

Paid subscriptions are billed monthly in advance. You may cancel at any time; cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial months. We reserve the right to modify pricing with 30 days' notice. Usage exceeding plan limits will result in service throttling until the next billing cycle or plan upgrade.

5. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to generate responses, analytics, and recommendations. AI-generated content is provided for informational purposes only and does not constitute investment advice, financial advice, legal advice, or professional real estate appraisal.

While we strive for accuracy, AI outputs may contain errors, inaccuracies, or outdated information. You must independently verify all AI-generated data before making any business, investment, or transactional decisions. ERARTA is not liable for any losses or damages arising from reliance on AI-generated content.

6. Data Sources

The Platform aggregates publicly available property listing data from sources including PropertyFinder, Dubizzle, Bayut, and other public real estate portals. This data is collected from publicly accessible web pages and is used to provide market insights and analytics.

We do not guarantee the accuracy, completeness, or timeliness of third-party data. Listing information may change without notice, and discrepancies may exist between our data and the original source. Always verify property details directly with the listing agent or developer.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse-engineer, decompile, or disassemble any part of the Platform
• Use automated systems (bots, scrapers) to access the Platform beyond the provided API
• Resell, sublicense, or redistribute Platform outputs without authorization
• Interfere with or disrupt the integrity or performance of the Platform
• Upload or transmit malicious code, viruses, or harmful content

8. Intellectual Property

All content, software, design, trademarks, and technology comprising the Platform are the exclusive property of ERARTA and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for your professional purposes.

You retain ownership of any data or content you upload to the Platform. By uploading content, you grant us a limited license to process and store it for the purpose of providing the service.

9. Limitation of Liability

To the maximum extent permitted by law, ERARTA and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform.

Our total cumulative liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. You may request export of your data within 30 days of termination. We may retain certain data as required by law or for legitimate business purposes.

11. Indemnification

You agree to indemnify, defend, and hold harmless ERARTA and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.
